!Important Note
While 'on-demand' refunds are not provided (credit-based software), some transactions may still be disputed through bank/payment network (chargeback), and in that case commissions may be reversed.

WMStudio Affiliate Program — Terms & Conditions

Program Owner

Affiliate/Partner
The natural or legal person participating in the Program ("Affiliate", "you").
By participating in the Program (registration, use of the coupon, or promotion of the Program), you declare that you have read and accepted these Terms.
1. Definitions
1.1 Unique Affiliate Coupon
Unique discount code assigned by WMStudio to a specific Affiliate.
1.2 Referred Customer
A customer who makes a purchase by applying a Unique Affiliate Coupon at checkout.
1.3 Net Revenue
Amount actually collected by WMStudio net of technical reversals, fraud, chargebacks and related costs/deductions (and any indirect taxes where applicable).
1.4 Approved Commissions
Commissions validated by WMStudio and payable according to the Program timelines.
2. Membership and Eligibility
2.1
WMStudio may accept or reject applications at its discretion (e.g. fraud risk, brand inconsistency, past violations).
2.2
The Affiliate is responsible for ensuring that their promotional activities comply with applicable laws and regulations.
3. Attribution (coupon only)
3.1
Commissions are recognized exclusively for purchases where a valid Unique Affiliate Coupon is applied at checkout.
3.2
If a purchase does not contain any affiliate coupon (or contains an invalid coupon), no commission is due.
4. Commissions
4.1
WMStudio recognizes the Affiliate a commission equal to 20% of the Net Revenue generated by Referred Customers.
4.2
The commission accrues for a maximum of 12 months from the first payment of the Referred Customer, unless otherwise agreed in writing.
4.3
WMStudio may recalculate/cancel accrued commissions in the presence of fraud, abuse, invalid traffic, or violations of the Terms.
5. Payments
5.1
Currency and method: payments in EUR via bank transfer to the data provided by the Affiliate.
5.2
Frequency and date: payments are made monthly by the 15th of the following month (subject to operational exceptions).
5.3
Minimum payout threshold: payment occurs only upon reaching €50 of Approved Commissions; otherwise the balance is rolled over to the next month.
5.4
The Affiliate is responsible for providing correct bank details and any documentation required for tax/accounting compliance.
6. Chargeback, reversals and clawback
6.1
A chargeback is a payment dispute initiated by the cardholder through the bank/payment network and may result in the reversal of the transaction.
6.2
If a transaction is reversed/disputed (chargeback) or found to be fraudulent, the associated commission is not due and may be deducted from future commissions or recovered (clawback) if already paid.
7. Allowed and prohibited activities
7.1
Allowed: promotion through organic content, tutorials, blogs, newsletters, and publication on coupon sites, except for unfair practices.
7.2
Prohibited: spam, bots, fraudulent incentivized traffic, misleading statements, impersonation, or any activity that violates laws or third-party rights.
8. Disclosure and transparency
8.1
The Affiliate must provide clear and visible disclosure of the commercial/affiliate relationship when promoting the coupon (e.g. "Affiliate coupon: I may receive a commission").
8.2
The disclosure must be easily noticeable and not hidden in a way that makes it difficult to understand.
9. Trademarks and materials
9.1
WMStudio may provide logos and materials; their use is granted under a limited, non-exclusive, and revocable license, only to promote the Program.
9.2
It is prohibited to use trademarks or assets in a confusing or misleading manner.
10. Suspension and termination
10.1
WMStudio may suspend or terminate the Affiliate's participation in case of violation of the Terms, fraud, or reputational risk.
10.2
In case of termination, the Affiliate must stop using materials/trademarks and cease presenting themselves as a partner.
11. Modifications to the Terms
11.1
WMStudio may update these Terms; continued use of the Program after publication/effectiveness of modifications constitutes acceptance.
12. Governing law and jurisdiction
12.1
Governing law: Italian.
12.2
Competent jurisdiction: Milan.
